1. Scope and Acceptance of Commercial Terms
ZORVEX SPORTS ("Company", "we", "us", or "our") operates https://zorvex-sports.com as an international B2B sporting goods supply platform. These Terms of Service apply to all wholesale purchasers, institutional clients, sports clubs, brand distributors, and OEM/ODM private-label partners ("Buyer" or "Client").
B2B Transaction Notice: This website and our manufacturing operations are structured exclusively for enterprise business-to-business commerce. We do not engage in retail sales to individual consumer end-users.
2. Quotations, Pricing & Validity
All commercial quotations issued by ZORVEX SPORTS via official email, Proforma Invoice (PI), or electronic documentation are governed by the following provisions:
- Validity Period: Standard formal quotations remain valid for 30 calendar days from the date of issuance, unless expressly agreed in writing otherwise.
- Currency & Incoterms: Unless stated differently, prices are quoted in USD on an FOB Shenzhen / FOB Guangzhou basis, or CIF/CFR to the Buyer's designated destination seaport/airport.
- Commodity Price Fluctuations: Due to volatility in raw materials (e.g., carbon fiber, goose/duck feathers, aluminum alloys, solid wood), quotations past the 30-day validity window are subject to recalibration.
3. Minimum Order Quantities (MOQ) & Sampling
To ensure industrial manufacturing efficiency and cost optimization:
- Standard Catalog MOQ: Standard production runs maintain predefined MOQs (typically 50–500 units depending on category, e.g., badminton rackets, baseball bats, or shuttlecock cartons).
- Pre-Production Samples: Rapid physical prototyping is available prior to mass production. Sample preparation typically takes 3 to 5 business days.
- Sample Fee Credit: Initial prototype and customized mold setup fees are partially or fully deductible from the subsequent bulk production invoice upon contract execution.
4. Custom OEM/ODM Orders & Specifications
For custom manufacturing, private-label branding, and bespoke product designs:
- Specification Approval: Mass manufacturing will commence only after the Buyer formally approves the digital rendering (Golden Sample proof) or physical counter-sample.
- Industrial Tolerances: Sporting goods manufacturing adheres to recognized industrial tolerance margins (weight & balance tolerance ±2g to ±5g; dimension tolerances ±1.5mm; color matching within Pantone ±1 shade).
- Raw Material Traceability: All production batches utilize verified composite carbon fibers, premium feathers, and high-strength alloys compliant with relevant sports federation benchmarks.
5. Commercial Payment Terms & Production Schedule
Standard commercial payment arrangements are executed through verified corporate bank wire transfers (T/T) or documentary letters of credit:
- Standard Terms: 30% advance deposit upon signing the Sales Confirmation / Proforma Invoice to initiate raw material procurement; 70% balance paid prior to container dispatch or against submission of Bill of Lading (B/L) copies.
- Irrevocable L/C: For large volume enterprise contracts exceeding $50,000 USD, an Irrevocable Letter of Credit at sight from a tier-one international bank may be accommodated.
6. Shipping, Export Customs & Delivery
Delivery timelines and transit liabilities are governed by the agreed Incoterms 2020 rules:
- Export Clearance: ZORVEX SPORTS manages all China export customs clearance, export documentation, and loading supervision.
- Production Lead Times: Standard bulk production requires 15 to 25 business days depending on customization complexity and seasonal order volume.
- Import Duties & Port Clearance: The Buyer is responsible for destination customs duties, import tariffs, and local port clearance fees unless DDP terms are specifically contracted.
7. Quality Inspection & Commercial Acceptance
We enforce rigorous quality assurance at every manufacturing stage:
- AQL Standards: Outgoing quality control is executed in accordance with MIL-STD-105E / ISO 2859-1 (AQL 2.5 General Inspection Level II) standards.
- Third-Party Inspection: The Buyer possesses the full right to appoint reputable third-party inspection agencies (e.g., SGS, TÜV Rheinland, Bureau Veritas) to conduct on-site pre-shipment inspections prior to final balance dispatch.
- Inspection Claim Window: Upon cargo arrival at the destination port, the Buyer must complete incoming verification within 15 calendar days.
8. Intellectual Property & Brand Protection
ZORVEX SPORTS places paramount importance on customer intellectual property:
- Buyer's Trademarks: All logos, trademarks, and artwork provided by the Buyer remain the exclusive property of the Buyer. We guarantee never to reproduce, resell, or distribute unauthorized products bearing the Buyer's branding.
- Proprietary Tooling & Molds: Custom molds funded by the Buyer will be locked for the Buyer's exclusive manufacturing usage.
9. Limitation of Liability
To the maximum extent permissible by law, ZORVEX SPORTS' total aggregate liability arising out of or related to any order, whether in contract, warranty, or tort, shall not exceed the actual purchase price paid by the Buyer for the specific batch of goods giving rise to the claim. We are not liable for consequential, incidental, or indirect commercial damages.
10. Force Majeure
Neither party shall be held liable for failure or delay in performance caused by circumstances beyond reasonable operational control, including natural catastrophes, severe typhoons, epidemics, declared or undeclared warfare, major port strikes, raw material embargoes, or government regulatory interventions.
11. Governing Law & Dispute Resolution
These Terms of Service and any commercial sales contracts entered into shall be governed by and construed in accordance with the substantive laws of the People's Republic of China, without regard to conflict of laws principles.
Any dispute, controversy, or claim arising out of or in connection with these terms shall first be negotiated in good faith. If unresolved within 30 days, the dispute shall be submitted to the South China International Economic and Trade Arbitration Commission (SCIA) or competent courts in Dongguan, Guangdong Province.
